1. Eligibility.

 

The Stride Gum Gaming Event (the "Sweepstakes") IS OPEN ONLY TO RESIDENTS OF THE fifty (50) UNITED STATES, The district of Columbia AND CANADA (EXCLUDING QUEBEC) WHO, AS OF THE START OF THE SWEEPSTAKES PERIOD (as defined below), ARE THIRTEEN YEARS OF AGE OR OLDER, HAVE A REGISTERED ACCOUNT ON WWW.XFIRE.COM AND ARE THE AUTHORIZED ACCOUNT HOLDER (as defined below) OF THE INTERNET EMAIL ADDRESS CORRESPONDING TO SUCH REGISTERED XFIRE ACCOUNT. IF YOU DO NOT MEET THE ABOVE CRITERIA, YOU ARE NOT ELIGIBLE TO PARTICIPATE OR WIN A PRIZE. If you are under the legal age of majority according to the laws of your jurisdiction of residence ("minor") you must have your parent’s or legal guardian’s permission to enter, and if you are selected as a prize winner, your parent or legal guardian will be required to sign an Affidavit of Eligibility (as described below) on your behalf, and the prize may be awarded in the name of your parent/legal guardian. Directors, officers and employees of XFIRE, Inc. ("Sponsor"), Cadbury Adams USA LLC, and their respective parents, affiliate companies, subsidiaries, agents, professional advisors, advertising and promotional agencies, or any other person involved in the design, production, execution or distribution of the Sweepstakes (collectively, "Released Parties"), and the immediate families of each (spouse, parent, child, sibling and their respective spouses, regardless of where they reside) and those living in the same households, whether or not related, are not eligible to enter the Sweepstakes or win any prizes. All applicable federal, state, provincial and local laws and regulations apply. Sweepstakes offer is void where prohibited by law.

 

Participation constitutes entrant’s (or, if an eligible minor, his/her parent’s or legal guardian’s) full and unconditional agreement to these Official Rules and Sponsor’s and judges’ decisions, which are binding and final in all matters related to the Sweepstakes. Winning a prize is contingent upon fulfilling all of the requirements set forth herein.

 

2. Sweepstakes Period and the Events.

 

The Sweepstakes shall commence at 3:00 pm Eastern Time ("ET") on March 29, 2007, and shall end at 12:00 am ET on June 21, 2007 (the "Sweepstakes Period") and shall include six (6) individual events (each an "Event" and collectively the "Events"), as follows:

 

* Event (i), taking place from 3pm to 9pm ET, March 29, 2007

* Event (ii), taking place from 3pm to 9pm ET, April 5, 2007

* Event (iii), taking place from 3pm to 9pm ET, May 4, 2007

* Event (iv), taking place from 3pm to 9pm ET, June 19, 2007

* Event (v), taking place from 3pm to 9pm ET, June 20, 2007

* Event (vi), taking place from 12pm to 12am ET, June 21, 2007

 

You do not have to participate in an Event to be eligible to win. You simply need to be logged into your account, as detailed in Sections 4 and 6 below.

 

3. Prizes.

 

Prizes to be awarded will include:

Event (i): Grand Prize (3): One (1) PNY GeForce8800GTS (Approximate Retail Value ("ARV"): $400 each). First Prize (10): PC Video Game (selected by Sponsor) (ARV: $50 each). Total ARV of all prizes in Event (i): $1,700.

 

Event (ii): Grand Prize (3): One (1) 22" Samsung LCD Monitor (ARV: $450 each). First Prize (10): PC Video Game (ARV: $50 each). Total ARV of all Prizes in Event (ii): $1,850.

 

Event (iii): Grand Prize (1): One (1) 22" Samsung LCD Monitor (ARV: $450 each). First Prize (2): One (1) PNY GeForce8800GTS (Approximate Retail Value ("ARV"): $400 each). Second Prize (10): PC Video Game (ARV: $50 each). Total ARV of all Prizes in Event (iii): $1,750.

 

Event (iv): Grand Prize (3): One (1) PNY GeForce8800GTS (Approximate Retail Value ("ARV"): $400 each). First Prize (10): PC Video Game (selected by Sponsor) (ARV: $50 each). Total ARV of all prizes in Event (iv): $1,700.

 

Event (v): Event (ii): Grand Prize (3): One (1) 22" Samsung LCD Monitor (ARV: $450 each). First Prize (10): PC Video Game (ARV: $50 each). Total ARV of all Prizes in Event (v): $1,850.

 

Event (vi): Grand Prize (3): One (1) 22" Samsung LCD Monitor (ARV: $450 each). First Prize (3): One (1) PNY GeForce8800GTS (Approximate Retail Value ("ARV"): $400 each). Second Prize (20): PC Video Game (ARV: $50 each). Total ARV of all Prizes in Event (vi): $3,550.

 

Total ARV of all Prizes in all Events: $12,400.

ALL APPLICABLE FEDERAL, PROVINCIAL, STATE AND LOCAL TAXES (INCLUDING ANY INCOME AND WITHHOLDING TAXES), AND ANY OTHER COSTS, EXPENSES AND INCIDENTALS ASSOCIATED WITH THE RECEIPT OR USE OF ANY PRIZES ARE THE SOLE RESPONSIBILITY OF THE WINNERS.

 

Prizes are not transferable. No substitutions or exchanges (including for cash) of any prizes will be permitted, except that Sponsor reserves the right in its sole discretion to substitute a prize of comparable or greater value. Limit one (1) prize per household or address for the entire Sweepstakes Period. All prizes are awarded "AS IS" and WITHOUT WARRANTY OF ANY KIND, express or implied, (including, without limitation, any implied warranty of merchantability or fitness for a particular purpose) by Sponsor. Prizes returned as undeliverable or otherwise not claimed within fifteen (15) days after delivery of notification will be forfeited and, at Sponsor’s discretion, awarded to an alternate winner to be chosen by random drawing.

 

4. How to Enter.

 

To be eligible to win a Prize, you must log onto your registered Xfire account prior to the relevant Event (or prior to the Sweepstakes Period) and add to your "friends list" any or all of the account names listed for each Event at http://www.xfire.com/cms/xf_stride ("entry"), and you must be logged on at the time of the drawing for the Event at issue (as detailed in Section 6 below).

 

Limited to one (1) entry per Xfire account. Multiple entries from the same Xfire account for any Event will be disqualified. In the event of a dispute concerning who submitted an entry, the entry will be deemed to have been submitted by the Authorized Account Holder of the e-mail account of the e-mail address corresponding to the Xfire account. The "Authorized Account Holder" is the natural person assigned the email address that corresponds to such person’s Xfire account, which email address is assigned by an Internet access provider, online services provider or other organization that is responsible for assigning the email address. Potential winners may be required to show proof of being Authorized Account Holders. Once submitted, entries become the sole property of Sponsor and will not be acknowledged or returned.

 

5. Disclaimer.

 

Released Parties are not responsible for: (a) any late, lost, misrouted, garbled, delayed, inaccurate, incomplete or distorted, damaged, illegible or incomplete transmissions, registrations or entries; (b) telephone, electronic, hardware, software, network, Internet, or other computer- or communications-related malfunctions, failures errors or limitations of any kind, including, without limitation, malfunctions, failures, errors or limitations which may occur in connection with the administration of the Events or the Sweepstakes, the processing of entries, winner notification or the conducting of any Event or the Sweepstakes; (c) any Event or Sweepstakes disruptions, injuries, losses or damages caused by events beyond the control of Sponsor, including, without limitation, theft or destruction or unauthorized access to or alterations of entry materials; or (d) any printing or, typographical or other errors in any materials associated with any Event or the Sweepstakes. Mass entries or entries generated by a script, macro or use of automated devices will be disqualified. Entrant is responsible for online charges or fees incurred by it with any Internet Service Provider. Entry materials that have been tampered with or altered are void. If Sponsor determines, in its sole discretion, that there is any suspected or actual tampering with any Event or the Sweepstakes or if technical difficulties compromise the integrity of any Event or the Sweepstakes, Sponsor reserves the right to void the entries at issue and/or terminate or modify any Event or the Sweepstakes and/or conduct a random drawing to award the prizes using all eligible, non-winning entries received for such Event or the Sweepstakes as of the time of termination. Any attempt to deliberately damage the content or operation of any Event or the Sweepstakes is unlawful and subject to legal action.

 

6. Drawings of Winners; Odds of Winning; Notification of Winners.

 

A random drawing from among all eligible registered users who are logged on at the time of the drawing for the Event at issue (as detailed below) will be conducted live by Sponsor or a sweepstakes administrator selected by Sponsor to award the Prizes as follows:

 

* Event (i) - Thursday, March 29^, 2007, at or around 6:00pm ET

* Event (ii) - Thursday, April 5, 2007, at or around 6:00pm ET

* Event (iii) - Friday, May, 2007, at or around 6:00pm ET

* Event (iv) - Tuesday, June 19, 2007, at or around 6:00pm ET

* Event (v) - Wednesday, June 20, 2007, at or around 6:00pm ET

* Event (vi) - Thursday, June 21, 2007, at or around 6:00pm ET

 

The decisions of Sponsor are final and binding in all matters relating to the Sweepstakes.

 

Odds of winning depend upon the number of eligible registered users who are logged on at the time of each drawing. Potential winners will be notified either instantly via instant messenger following the applicable drawing or otherwise by e-mail within fourteen (14) days after the applicable drawing date. To claim a prize, potential winners should follow the instructions contained in the e-mail notification or instant message notification (whichever is applicable). Canadian residents must correctly answer, unaided a time limited mathematical skill-testing question in order to be declared a winner. Potential winners or their parents/legal guardians, if potential winner is an eligible minor in his/her jurisdiction of residence, may be required to execute and return an Affidavit/Declaration of Eligibility, Liability Release and, unless prohibited by law, a Publicity Release within fifteen (15) days of date of notification or prize will be forfeited and, at Sponsor’s discretion, an alternate winner selected by random drawing for the Event at issue.

 

If a potential winner cannot be reached after a reasonable effort has been exerted (as determined by Sponsor), if he/she is found to be ineligible, if he/she cannot or does not comply with these Official Rules, or if his/her prize or prize notification is returned as undeliverable or is otherwise not claimed within fifteen (15) days after date of the delivery of notification, such potential winner will be disqualified and an alternate potential winner may be selected by random drawing for the Event at issue in Sponsor’s sole discretion.

 

7. Minor Winners.

 

If a potential winner is considered a minor in his/her jurisdiction of residence, Sponsor reserves the right to award the prize in the name of his/her parent or legal guardian who must execute and return all required documents and otherwise comply with all requirements imposed on winners set forth herein.

 

8. Collection of Information.

 

Entrants’ information will be used in accordance with Sponsor’s Privacy Policy, available at http://www.xfire.com/privacy_policy/.

By entering this contest you consent to Sponsor, its promotional agencies and contest judges storing and using the personal information you submitted with your entry for the purpose of administering the contest.

 

9. General Release.

 

By entering the Sweepstakes, entrants (or, if eligible minors, their parents or legal guardians) agree to release, discharge and hold harmless Released Parties from any liability whatsoever, and waive any and all causes of action, related to any claims, costs, injuries, losses, or damages of any kind, either at law or in equity, whether known or unknown, arising out of or in connection with the Sweepstakes or delivery, misdelivery, acceptance, possession, use of or inability to use any prize (including, without limitation, claims, costs, injuries, losses and damages related to personal injuries, death, damage to or destruction of property, rights of publicity or privacy, defamation or portrayal in a false light, whether intentional or unintentional), whether under a theory of contract, tort (including negligence), warranty or other theory.

 

10. Winners List/Rules Request.

To obtain a copy of these rules, send a stamped, self-addressed business-size envelope to Sponsor at the following address: "Stride Gum Xfire Game Event" c/o Xfire 200 Middlefield Rd., Ste. 200 Menlo Park, CA 94025. Residents of VT and Canada may omit return postage.

12. Miscellaneous.

 

The Sweepstakes, Events and these Official Rules will be governed, construed and interpreted under the laws of the United States. Entrants (or, if eligible minors, their parents or legal guardians) agree to be bound by these Official Rules and by the decisions of Sponsor, which are final and binding in all respects. Sponsor reserves the right to suspend or cancel the Sweepstakes or any entrant’s participation in the Sweepstakes should viruses, bugs, unauthorized human intervention or other causes beyond Sponsor’s control affect the administration, security or proper play of the Sweepstakes or Sponsor otherwise becomes (as determined in its sole discretion) incapable of running the Sweepstakes as planned. Entrants who violate these Official Rules, tamper with the operation of the Sweepstakes or an Event or engage in any conduct that is detrimental or unfair to Sponsor, the Sweepstakes, an Event or any other entrant (in each case as determined in Sponsor's sole discretion) are subject to disqualification from entry into the Sweepstakes. Sponsor reserves the right to exclude persons whose eligibility is in question or who have been disqualified or are otherwise ineligible to enter the Sweepstakes.
